Terms of Service

01 Acceptance of Terms

By accessing or using Scatterbrainz (the "Service"), available at https://scatterbrain.tech, you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

If you do not agree to these Terms, you may not use the Service. Your continued use of the Service following any modification to these Terms constitutes acceptance of the modified Terms.

02 Description of Service

Scatterbrainz is a project management SaaS platform designed for software development teams building with artificial intelligence tools, including Anthropic's Claude. The Service enables teams to track components, milestones, deliverables, and progress across AI-assisted software projects.

The Service is operated by Fluxum Technologies, a corporation incorporated under the laws of Ontario, Canada ("Fluxum," "we," "us," or "our").

The Service is designed to complement and integrate with Anthropic's Claude AI platform. Use of Anthropic's products is governed separately by Anthropic's own terms of service.

03 Account Registration and Security

Registration

To use the Service, you must create an account by providing accurate, complete, and current information. You must be at least 18 years of age (or the age of majority in your jurisdiction) to register. By registering, you confirm that all information you provide is truthful.

Account security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

Fluxum Technologies is not liable for any loss or damage arising from your failure to maintain account security.

Account termination by you

You may delete your account at any time through the account settings in the application or by contacting refund@scatterbrain.tech. Deletion removes your account data subject to our data retention policy described in the Privacy Policy.

04 Subscription and Billing

Subscription plans

Scatterbrainz offers a free tier and paid subscription plans (collectively, "Plans"). Paid Plans are billed on a monthly or annual basis, as selected at the time of purchase. Current pricing is disclosed on the Pricing page before any purchase is made.

Billing cycles

Monthly subscriptions are billed on the same calendar day each month from the date of initial subscription. Annual subscriptions are billed once per year on the anniversary of the subscription start date. All amounts are in United States Dollars (USD) unless otherwise stated.

Automatic renewal

Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date. By subscribing, you authorize Fluxum Technologies (through our payment processor, Stripe) to charge your payment method on file for each renewal period.

Credit allocation per tier

Each paid Plan includes a monthly allocation of Scatterbrainz Credits ("Credits") as described in the Plan details at the time of purchase. Credits are allocated to your account at the start of each billing cycle. Credits included in a monthly Plan that are unused at the end of the billing cycle expire, except as noted in Section 6 (Credits).

Failed payments and grace period

If a payment fails, Fluxum Technologies will attempt to collect payment using the payment method on file. You have a 7-day grace period from the original billing date to resolve the payment failure. During the grace period, your account remains active at the current Plan level. If payment is not collected within 7 days, your account will be automatically downgraded to the free tier, and any unused paid-tier Credits will be forfeited. You may re-subscribe at any time to restore access.

Price changes

We reserve the right to modify pricing. We will provide at least 30 days advance notice of any price increase to the email address associated with your account. Your continued subscription after the notice period constitutes acceptance of the new pricing.

05 Refund and Cancellation Policy

Monthly subscriptions

You may cancel a monthly subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to the paid tier features until the end of the paid period. Monthly subscriptions are not eligible for prorated refunds for partial months — you receive access for the full period you have paid for.

Annual subscriptions

Annual subscriptions may be cancelled within 14 days of the initial purchase or renewal date for a full refund. After 14 days, a prorated refund will be issued for the unused complete months remaining in the annual term, at our discretion following review.

Top-up credits

Credits purchased as one-time top-ups are non-refundable once allocated to your account, except in the case of a documented billing error (see below).

Billing errors

If you believe you have been charged incorrectly, you must contact us at refund@scatterbrain.tech within 30 days of the charge. We will investigate and issue a full refund if a billing error is confirmed.

How to cancel

Cancellations can be initiated from the account settings section within the Scatterbrainz application, or by emailing refund@scatterbrain.tech. Cancellation requests submitted by email will be processed within 2 business days.

06 Credits

Nature of Credits

Scatterbrainz Credits ("Credits") are a service access mechanism that enables use of specific features within the platform. Credits are not currency, have no monetary value outside the Service, are not transferable between accounts, and cannot be exchanged for cash or other consideration.

Monthly plan credits

Credits included in a monthly subscription Plan are allocated at the start of each billing cycle. Unused monthly Plan Credits expire at the end of the billing cycle and do not carry forward, except as stated below.

Rollover credits

On Plans that include a rollover feature (as specified in the Plan description), unused monthly Credits roll over into the next billing cycle. Rolled-over Credits expire at the end of the following billing cycle if unused — they do not accumulate indefinitely.

Top-up credits

Credits purchased as one-time add-ons ("Top-up Credits") are added to your account balance upon confirmed payment. Top-up Credits expire 12 months after the date of purchase, regardless of Plan status.

Credit consumption order

When Credits are consumed, the following order of depletion applies: (1) rolled-over credits from prior cycles, (2) current-cycle plan credits, (3) top-up credits. Credits are deducted in the order most likely to expire first.

Effect of downgrade or cancellation on credits

If your account is downgraded (including due to payment failure) or cancelled, any current-cycle Plan Credits that have not been consumed are forfeited. Top-up Credits with a remaining validity period are retained for the duration of their validity, provided your account remains active (not deleted).

07 Prohibited Uses

You agree not to use the Service to:

08 Intellectual Property

Our intellectual property

The Service, including its software, design, user interface, trademarks, and all content created by Fluxum Technologies, is the intellectual property of Fluxum Technologies and is protected by applicable copyright, trademark, and other laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during the term of your subscription.

Your content

You retain ownership of all content, data, and project information you submit to the Service ("Your Content"). By submitting Your Content, you grant Fluxum Technologies a limited license to host, store, and process Your Content solely to provide and improve the Service. We do not claim ownership of Your Content.

Feedback

If you provide suggestions, feedback, or ideas regarding the Service, you grant Fluxum Technologies a perpetual, irrevocable, royalty-free license to use such feedback in any manner without obligation to you.

09 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FLUXUM TECHNOLOGIES DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Fluxum Technologies does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that any information provided through the Service is accurate, complete, or current.

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, some of the above exclusions may not apply.

10 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FLUXUM TECHNOLOGIES, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

In any event, Fluxum Technologies's aggregate liability to you for all claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid to Fluxum Technologies in the 12-month period preceding the claim, or (b) CAD $100.

Some jurisdictions do not allow limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

11 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.

If you are located outside Canada, you agree that any legal proceedings will be conducted in English in the Province of Ontario.

12 Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email (at the address associated with your account) or by prominent notice within the Service, at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
